In responding to a pleading, the following defenses must be affirmatively stated: (a) settlement, (b) accord and satisfaction, (c) arbitration and award, (d) assumption of risk, (e) negligence, (f) discharge in bankruptcy, (g) duress, (h) impediment, (i) failure of consideration, (j) fraud, (k) illegality, (l) lack of diligence [laches], (m) license, (n) payment, (o) release, (p) res judicata, (q) acquisitive or [liberative] prescription, (r) waiver, and any other matter constituting an avoidance or affirmative defense. These defenses shall be clear, direct, and concise when responding to a pleading or they shall be deemed as waived, unless the party becomes aware of the existence of the same during discovery, in which case, an amendment to the pertinent pleading shall be made.
When a party mistakenly designates a defense as a counterclaim or a counterclaim as a defense, the court, if justice so requires and under the terms it may deem proper, shall treat the pleading as if there had been a proper designation.
Al responder a una alegación, las siguientes defensas deberán expresarse afirmativamente: (a) transacción, (b) aceptación como finiquito, (c) laudo y adjudicación, (d) asunción de riesgo, (e) negligencia, (f) exoneración por quiebra, (g) coacción, (h) impedimento, (i) falta de causa, (j) fraude, (k) ilegalidad, (l) falta de diligencia, (m) autorización, (n) pago, (o) exoneración, (p) cosa juzgada, (q) prescripción adquisitiva o extintiva, (r) renuncia y cualquier otra materia constitutiva de excusa o de defensa afirmativa. Estas defensas deberán plantearse en forma clara, expresa y específica al responder a una alegación o se tendrán por renunciadas, salvo la parte advenga en conocimiento de la existencia de la misma durante el descubrimiento de prueba, en cuyo caso deberá hacer la enmienda a la alegación pertinente.
Cuando la parte denomine equivocadamente una defensa como una reconvención, o una reconvención como una defensa, el tribunal, cuando así lo requiera la justicia y bajo los términos que estime apropiados, considerará la alegación como si se hubiese denominado correctamente.

What this rule doesQué hace esta regla

The list runs from (a) to (r): settlement, accord and satisfaction, arbitration and award, assumption of risk, negligence, discharge in bankruptcy, duress, impediment, failure of consideration, fraud, illegality, laches, license, payment, release, res judicata, acquisitive or liberative prescription, and waiver — plus any other matter constituting an avoidance or affirmative defence. That closing phrase means the list is a floor, not a ceiling.

The sanction is stated in the rule itself: these defences must be clear, direct and concise or they shall be deemed as waived. Puerto Rico softens that with a real exception — if a party becomes aware of a defence during discovery, the pleading is amended to add it.

The last paragraph is a piece of practical mercy. Label a defence as a counterclaim, or a counterclaim as a defence, and the court treats it as though it had been designated properly, if justice requires. Getting the name wrong does not cost the substance.

Two entries deserve a note for readers coming from common-law systems. Prescription, both acquisitive and liberative, is the civil-law framework that covers what a common lawyer calls the statute of limitations and adverse possession. And negligence appears as an affirmative defence, which is how comparative negligence enters the case.

La lista va de la (a) a la (r): transacción, pago en finiquito, laudo y arbitraje, asunción de riesgo, negligencia, descargo en quiebra, coacción, impedimento, falta de causa, fraude, ilegalidad, falta de diligencia, licencia, pago, relevo, cosa juzgada, prescripción adquisitiva o extintiva, y renuncia, más cualquier otra materia que constituya excusa o defensa afirmativa. Esa frase final convierte la lista en un piso, no en un techo.

La sanción está en la propia regla: esas defensas deben ser claras, directas y concisas o se entenderán renunciadas. Puerto Rico lo suaviza con una excepción real: si la parte advierte la existencia de una durante el descubrimiento, se enmienda la alegación.

El último párrafo es una clemencia práctica. Si se rotula una defensa como reconvención, o una reconvención como defensa, el tribunal la trata como si estuviera bien designada, cuando la justicia lo requiera. Equivocarse en el nombre no cuesta la sustancia.

Dos entradas merecen nota. La prescripción, adquisitiva y extintiva, es el marco civilista que cubre lo que el derecho común llama término prescriptivo y usucapión. Y la negligencia figura como defensa afirmativa, que es como entra al pleito la negligencia comparada.
