Art. 79.Action to Dissolve Partnership

Article 79 is narrow by design: it covers only the venue for an action seeking to dissolve a partnership, as distinct from suits against a partner on the partnership's ordinary obligations, which Article 78 governs instead. The rule sends a dissolution action to a single parish — wherever the partnership has, or had, its principal business establishment.

Anchoring venue at the principal place of business keeps a dissolution proceeding in the parish most likely to hold the partnership's records, management, and the witnesses relevant to winding up its affairs.
