Plain-English Summary
Louisiana serves limited liability companies through a structure nearly identical to the one it uses for corporations. The first option under Article 1266 is personal service on any one of the LLC's designated agents for service of process.
If the LLC has no designated agent, the agent is no longer available because of death, resignation, or removal, or the process server certifies an inability, after due diligence, to serve the agent, the rule opens the same kind of backup paths Article 1261 provides for corporations. If management of the LLC is vested in one or more managers, the server may personally serve any manager; if management isn't vested in managers, the server may personally serve any member instead. The server may also personally serve any employee of suitable age and discretion at a place where the LLC regularly conducts business, or proceed under Louisiana's long-arm statute if the LLC is subject to it.
Article 1266 originally provided a fourth backup method as well, but that provision was later repealed. If service can't be completed through any of the current methods, Article 1267 supplies the same kind of final fallback available for corporations: service on the secretary of state.
Frequently Asked Questions
How is an LLC served with citation in Louisiana?
By personal service on any one of its agents for service of process, the same starting point used for corporations.
Who can be served if the LLC's agent can't be reached?
A manager, if the LLC is managed by one or more managers, or a member if management isn't vested in managers, or any employee of suitable age and discretion at a place where the LLC does business.
Is there a way to serve an LLC using Louisiana's long-arm statute?
Yes, if the LLC is subject to Louisiana's long-arm statute, service may proceed under that separate statutory procedure.
What if none of these methods succeed?
Article 1267 allows service on the secretary of state as a final fallback, once the process server certifies that diligent effort to serve the LLC directly has failed.
